The administrative departments of industry and commerce, public security, labor, tourism, taxation, customs and finance shall, according to their respective functions and duties, cooperate with the Municipal Economic and Trade Commission in the management and service of representative offices in Qingdao. Article 4 The representative offices in Qingdao shall abide by the laws, regulations and rules of China and engage in relevant activities within the business scope approved by the examination and approval authorities, and their legitimate rights and interests shall be protected according to law.
Foreign enterprises shall bear legal responsibility for all business activities of their representative offices in Qingdao in People's Republic of China (PRC). Chapter II Administration of Examination, Approval and Registration Article 5 When applying for establishing a representative office in Qingdao, a foreign enterprise shall entrust Qingdao Foreign Investment Service Center or a company that has business dealings with the enterprise and enjoys the right to operate foreign trade as the organizer, and submit relevant documents and materials to the Municipal Economic and Trade Commission. Article 6 A foreign enterprise applying for establishing a representative office in Qingdao shall submit the following documents and materials to the Municipal Economic and Trade Commission:
(1) An application signed by the chairman or general manager of the enterprise and stamped with the official seal of the enterprise, which shall specify the purpose of establishing a representative office in Qingdao, the name of the Qingdao representative office, the names of the chief representative and the permanent representative, the business scope, office address, the term of residence, economic and trade activities in China and this Municipality, etc.
(2) Power of attorney of the chief representative and the permanent representative signed by the chairman or general manager of the enterprise and stamped with the seal of the enterprise, which shall specify the name, position, authorization authority and years of the appointed person;
(3) A valid registration document and a legal certificate of starting business issued by the registration authority or relevant authorities in the country or region where the enterprise is located (photocopy);
(4) Credit certificate (original) issued by financial institutions that have business dealings with the enterprise;
(five) the certificate of the use of the representative office in Qingdao;
(6) Resumes, identity documents and photos of the chief representative and the permanent representative.
A joint stock limited company or a limited company shall, in addition to the certificates and materials specified in the preceding paragraph, submit a list of members of the board of directors and the articles of association.
When applying to set up a representative office in Qingdao, a shipping and freight forwarding company shall submit the freight forwarding contract (copy) signed with Qingdao Port specialized freight forwarding company in addition to the documents and materials specified in the preceding paragraph. Article 7 The Municipal Economic and Trade Commission shall examine the relevant documents and materials, make a decision on approval or disapproval within 30 working days, and notify foreign enterprises in time. Those who meet the requirements shall go through the examination and approval procedures according to the regulations, and the chief representative of the representative office in Qingdao shall receive the approval certificate. Article 8 A foreign enterprise applying to establish a representative office in Qingdao shall, within 30 days from the date of receiving the approval certificate, go through the registration formalities with the municipal administrative department for industry and commerce, and the chief representative of the representative office in Qingdao shall obtain the industrial and commercial registration certificate.
If the industrial and commercial registration is not completed within the time limit, the approval certificate will automatically become invalid, and the parties concerned shall return the approval certificate to the Municipal Economic and Trade Commission. Article 9 The representative office of a foreign enterprise in Qingdao shall, within 30 days from the date of receiving the industrial and commercial registration certificate, handle the relevant registration and filing formalities with the municipal administrative departments of taxation, customs, finance and other departments with the approval certificate, industrial and commercial registration certificate and representative certificate. Article 10 Where a representative office in Qingdao requests to change the registered items, it shall apply to the Municipal Economic and Trade Commission and submit relevant documents and materials in accordance with the following provisions:
(a) to change the name and business scope of the organization, an application signed by the chairman or general manager of the enterprise and stamped with the seal of the enterprise, a valid registration certificate and a business report issued by the country or region where the enterprise is located shall be submitted;
(2) Where the chief representative or resident representative is changed, an application, power of attorney, representative resume and identity certificate signed by the chairman or general manager of the enterprise and stamped with the seal of the enterprise shall be submitted;
(3) In case of change of address, an application for relocation signed by the chief representative and stamped with the seal of the representative office in Qingdao and a certificate of house use shall be submitted. Article 11 After the application for change of the representative office in Qingdao is approved by the Municipal Economic and Trade Commission, it shall go through the formalities for change registration with the municipal administrative department for industry and commerce, and timely file with the administrative departments of taxation, public security, customs and finance. Article 12 The validity period of the Approval Certificate of Representative Office in Qingdao is 3 years. If it is necessary to extend the stay period, an application for extension shall be submitted to the Municipal Economic and Trade Commission 60 days before the expiration, and the following documents and materials shall be submitted:
A report on the business activities of the representative office in Qingdao in the previous three years;
(2) An application for extension signed by the chairman or general manager of the foreign enterprise and stamped with the seal of the enterprise;
(3) Documents and materials listed in Item (2), (3), (4), (5) and (6) of Paragraph 1 of Article 6.
