Chapter I General Principles

Article 1 The name of this Association is Guangdong Insurance Industry Association (hereinafter referred to as this Association). Its full English name is: Guangdong Association of Insurance Industry, and its English abbreviation is GAII.

Article 2 This Association is a self-regulatory and non-profit organization in the insurance industry voluntarily formed by commercial insurance institutions in Guangdong Province (excluding Shenzhen, the same below).

Article 3 The purpose of this Association is to abide by the Constitution of the People's Republic of China, the Insurance Law and other relevant laws and regulations, implement the relevant principles and policies of the state and the insurance regulatory authorities, observe and carry forward social morality, serve as a bridge and link between the government and the insurance industry, safeguard the legitimate rights and interests of members, strengthen self-discipline, coordination, communication and publicity in the insurance industry, mobilize and organize all member units and all employees, and keep pace with the times. Innovative development, actively play the role of modern insurance, better serve the economic development, social progress and people's production and life in our province, promote the healthy development of our insurance industry, and realize the insurance industry in our province to become bigger and stronger.

Article 4 This Association shall accept the supervision and management of Guangdong Provincial Civil Affairs Department and the business guidance of China Insurance Regulatory Commission, Guangdong Supervision Bureau and relevant functional departments of the provincial government, and carry out its work independently and impartially.

Article 5 The activity area of this Association is the administrative area of Guangdong Province.

Article 6 The office address of this Association is located in Tianhe District, Guangzhou.

Chapter II Scope of Business

Article 7 The basic functions of this Association are one core and five basic points, namely, taking "service" as the core and "self-discipline, rights protection, coordination, communication and publicity" as the basic points:

(1) Maintaining the market environment of fair competition, and restraining unfair competition by signing self-discipline conventions, formulating industry standards and industry guidance clauses, and being authorized by relevant departments; Carry forward the professional ethics of honesty and trustworthiness, and establish and improve the credit system of insurance industry; Strengthen the self-discipline management of insurance practitioners and intermediaries, strengthen inspection, supervise the implementation and supervise the practice according to the self-discipline convention signed by the association and the management system formulated, and carry out self-discipline punishment with the authorization of relevant departments.

(two) to participate in the decision-making demonstration and put forward suggestions that are conducive to the development of the industry; Carry out investigation and research to reflect the voice of the industry; Strengthen communication with regulatory authorities and government departments to safeguard the legitimate rights and interests of the industry and members.

(three) to coordinate the relationship between members of the association, members and insurance practitioners; Coordinate the relationship between the insurance industry and other relevant industries and social organizations; Coordinate the relationship between members, insurance consumers and the public.

(four) through exchanges and cooperation between members of the association, with the insurance industry at home and abroad, and with other industries, to communicate the situation, collect information, introduce technology, popularize experience, organize training, reflect the dynamics of the industry, and serve members, insurance company customers and the public.

(five) the integration of publicity resources, organize large-scale exhibitions, publicity and consulting activities, popularize insurance knowledge and raise public awareness of insurance; Strengthen the legal awareness of operators; Authorized by the relevant departments and review the list, commend outstanding employees, publicize advanced deeds and typical experiences, and establish a good image of the industry; Open up external publicity windows, pay attention to hot spots and focus issues in the industry, guide public opinion, and avoid malicious speculation.

(six) to accept the entrustment of the insurance regulatory department and other government departments to handle relevant matters.

Chapter III Membership

Article 8 The members of this Association are unit members.

Article 9 A member who applies to join this Association must meet the following conditions:

(1) To support the articles of association of this Association;

(two) have the will to join this association;

(three) has a certain influence in the field of the industry;

(four) should hold a business license or social organizations and other related documents.

Tenth membership procedures are:

(1) submitting an application for membership;

(2) The application for membership shall be examined and approved by the Council, and the Secretariat shall regularly or irregularly inform the Council of the admission of new members and announce it to the public in an appropriate manner;

(3) The Council authorizes the secretariat of this Association to issue membership cards.

Article 11 Members shall enjoy the following rights:

(1) Attending the general meeting of members, participating in the activities of the Association and accepting the services provided by the Association;

(two) the right to vote, to be elected and to vote;

(three) to obtain the priority of our service;

(four) the right to put forward proposals, suggestions and supervision over the work of this association;

(five) voluntary membership and freedom of withdrawal;

(six) to put forward the right to protect their legitimate rights and interests from damage;

Article 12 Members shall perform the following obligations:

(1) Abide by the articles of association of this Association.

(two) to implement the resolutions of this Council;

(three) to safeguard the legitimate rights and interests of the association and the industry;

(four) to complete the work assigned by the association;

(five) to pay membership fees in accordance with the regulations;

(six) to reflect the situation to the association, provide relevant business information, and actively support, cooperate and participate in the information and publicity work of the association;

(seven) to submit statistical data to the Commission.

Thirteenth members pay membership fees:

(1) The membership fee standards of insurance member companies include annual basic membership fee and annual business membership fee. The annual basic membership fee of each insurance member company is RMB 1 10,000 yuan, and the annual business membership fee is determined in different grades according to the premium income scale of the company in the previous year. The specific standards are as follows:

1, if the premium income in the previous year was RMB 1-300 million yuan (including1100 million yuan), the annual business membership fee standard is RMB 30,000 yuan;

2. If the premium income in the previous year was 300-400 million yuan (including 300 million yuan), the annual business membership fee standard was 35,000 yuan;

3. If the premium income in the previous year was 400-500 million yuan (including 400 million yuan), the annual business membership fee standard was 40,000 yuan;

4. If the premium income in the previous year was 500-600 million yuan (including 500 million yuan), the annual business membership fee standard was 45,000 yuan;

5. If the premium income in the previous year was 600-700 million yuan (including 600 million yuan), the annual business membership fee standard was 50,000 yuan;

6. If the premium income in the previous year was 700-800 million yuan (including 700 million yuan), the annual business membership fee standard was 55,000 yuan;

7. If the premium income in the previous year was 800-900 million yuan (including 800 million yuan), the annual business membership fee standard was 60,000 yuan;

8. If the premium income in the previous year was RMB 9- 10 billion (including RMB 900 million), the annual business membership fee standard was RMB 65,000;

9. If the premium income in the previous year was more than RMB1000 million yuan (including RMB1000 million yuan), the annual business membership fee standard is 70,000 yuan.

The maximum annual membership fee of each insurance member company shall not exceed RMB 80,000.

(2) The membership fees of insurance intermediary member companies are: insurance agent member companies 1500 yuan, insurance broker member companies/2,500 yuan, and insurance assessor member companies 1500 yuan;

(3) Annual membership fee of members of social organizations 1500 yuan.

Article 14 A member who withdraws from the meeting shall notify the trade association in writing and return his membership card to pay off his debts related to the meeting, and shall not ask the meeting for such related expenses as returning membership fees.

If a member fails to pay the membership fee or participate in the activities of the association in 1 year, it will be regarded as automatic withdrawal.

Article 15 If a member fails to abide by the articles of association of this trade association, it will be criticized and educated by this trade association. In case of any of the following circumstances, it will be removed by voting at the general meeting of members:

(1) Termination of business with the approval of the insurance regulatory agency;

(two) the merger, cancellation or bankruptcy according to law;

(3) Being banned by the insurance supervision and administration institution or the administrative department for industry and commerce according to law;

(4) There are serious violations of the articles of association of this Association.

Chapter IV Creation and Dismissal of Organizational Structure and Person in Charge

Article 16 The Association consists of members, who are the highest authority of the trade association and exercise their functions and powers in accordance with national laws, regulations and the articles of association of the trade association.

Article 17 The general meeting of members shall exercise the following functions and powers:

(1) To decide the business scope and work functions of the Association within the scope prescribed by laws and regulations;

(two) to elect or recall the president, vice president, directors and supervisors;

(3) To review the annual work report of the Board of Directors and the Board of Supervisors and the annual financial budget and final accounts plan;

(four) to consider the proposal of the Council on the removal of members;

(five) to make resolutions on the alteration, dissolution and liquidation of the association;

(six) to change or cancel the inappropriate decisions of the Council;

(seven) to formulate or amend the articles of association and the election method of the organization;

(8) Deciding on the termination;

(9) To decide on other major issues.

Article 18 The general meeting of members is held for four years. If it is necessary to advance or postpone the general election due to special circumstances, it must be voted by the board of directors, reported to the Guangdong Insurance Regulatory Bureau for review and approved by the association registration authority. However, the longest extension shall not exceed 1 year. The general meeting of members shall be held at least once every two years. If the Council deems it necessary or more than one-fifth of the members propose, an interim general meeting may be held.

Nineteenth members of the general assembly must be attended by more than two thirds of all members; Its resolution shall be adopted by more than half of all members.

The general meeting of members shall make minutes of the decisions on the matters discussed and report to the members.

Article 20 The Association shall set up a board of directors, which is the permanent body of the general assembly, and shall perform its duties in accordance with the resolutions of the general assembly and the articles of association when the general assembly is not in session.

Article 21 The functions and powers of the Council are:

(1) Preparing and convening the general meeting of members;

(two) to implement the resolutions of the general assembly and report to the general assembly;

(three) to decide on the specific work and business of the association;

(four) to formulate the annual financial budget plan, final accounts, alteration, dissolution and liquidation of the association;

(five) to formulate plans for increasing or decreasing the registered capital of the association;

(six) to decide on the establishment of the internal institutions of the Association, and to lead the internal institutions of the Association to carry out their work;

(seven) to decide the new applicant's membership and the punishment of the members, and to propose the removal of the members;

(8) To appoint or dismiss the Secretary-General and decide on the principal responsible persons of the branches of the Association; According to the nomination of the Secretary-General, appoint or dismiss the Deputy Secretary-General and the principals of the offices and representative offices of the Association; Elect or recall the executive director.

(nine) to formulate industry self-discipline rules, industry standards, business norms and the internal management system of the association;

(ten) other matters stipulated in the articles of association.

Article 22 The Council shall be composed of directors. The directors shall be recommended by members and submitted to the general meeting for approval.

Article 23 The Council shall convene a meeting at least once every six months. In special circumstances, it may also be convened in the form of communication. The meeting of the board of directors can only be held when more than half of the directors are present, and its resolution can only take effect when it is approved by more than half of all the directors. The Council shall form minutes of the meeting on the resolution and make an announcement to all directors.

The meeting of the Council shall be convened and presided over by the President; When the President is unable to perform his duties due to special reasons, the President shall entrust the Vice President or the Secretary General to convene and preside over the meeting. More than one third of the directors may propose to convene the Council.

Article 24 The Association shall establish a standing council, which shall be responsible to the council. The Standing Council is composed of President, Vice President and Executive Director. When the Council is not in session, with the authorization of the Council, the Standing Council may exercise the first, second, third, fourth, fifth, sixth, seventh and ninth functions and powers stipulated in Article 21 of the Articles of Association.

The executive director is elected from among the directors.

The Standing Council shall meet at least once every three months; Special circumstances can also be held by means of communication. Resolutions made by the Standing Council must be passed by more than half of the standing directors.

The Standing Council shall make minutes of the decisions on the matters discussed.

Article 25 Rules and procedures for the establishment of branches and representative offices of this Association:

(1) A specific plan for setting up branches and representative offices is put forward by the secretariat of this trade association;

(two) submit the specific plan to the president's office meeting for discussion and adoption;

(3) Submit the adopted concrete plan to the Council for deliberation and approval;

(four) reported to the social organization registration authority for examination and approval.

Article 26 The Association shall establish a board of supervisors, which shall be elected by the general meeting of members. The term of office of the board of supervisors is the same as that of the board of directors, and can be re-elected upon expiration.

The president, vice-president, directors and secretary-general shall not concurrently serve as supervisors.

Article 27 The president, vice-president, secretary-general and supervisor of this Association must meet the following requirements:

(a) adhere to the party's line, principles and policies, abide by national laws and regulations, fair and honest;

(two) enthusiastic about the work of the association, and strive to promote the development of the industry, which has a greater impact in the field of this industry;

(3) The president, vice-president and supervisor shall be the main persons in charge of the member units;

(4) The president and vice president shall be directors recommended by member companies;

(five) the maximum working age of the president, vice president and secretary general shall not exceed 60 years old in principle, and may be appropriately extended with the approval of the Council or the Standing Council and the Provincial Civil Affairs Department in special circumstances;

(six) good health, can adhere to the normal work;

(7) Having not been subjected to any criminal punishment;

(8) Having full capacity for civil conduct.

Article 28 The Secretary-General of the Association adopts the appointment system, and the president may not concurrently serve as the Secretary-General.

Article 29 The Association shall have a president and several vice-presidents. The president shall be the legal representative of this trade association, and the legal representative of this trade association shall not concurrently serve as the legal representative of other social organizations.

Article 30 The term of office of the President, Vice-President and Secretary-General of this Association is 4 years, and the President and Vice-President may not be re-elected for more than two terms, and the Secretary-General may be re-employed.

Article 31 The President of this Association shall exercise the following functions and powers:

(1) Convening and presiding over meetings of the Council and the Standing Council;

(two) to check the implementation of the resolutions of the general assembly, the Council and the Standing Council;

(three) to submit a report on the work of the Association to the Council and report to the Council;

(4) Nominating candidates for the Secretary-General for appointment by the Council after being voted by the Council;

(five) according to the nomination of the Secretary General of the Association, employ full-time staff of the Association;

(6) Signing relevant important documents on behalf of the Association.

Article 32 If the president and vice-president of the Association change their jobs during their term of office or it is not suitable for them to continue to hold the post of the Association for other reasons, they should resign from the position of the Association within one month and be replaced by a successor leader of their own unit.

Article 33 The vice-president and secretary-general of the Association shall work under the leadership of the President, and the vice-president shall convene and preside over the Council, the Standing Council and issue important documents of the Association with the authorization of the President.

The Secretary-General of the Association is responsible to the Council. The Secretary-General shall be full-time and exercise the following functions and powers:

(a) to preside over the daily work of the office and organize the implementation of the annual work plan;

(2) Organizing the formulation and implementation of annual work plans, budgets and decisions;

(three) to coordinate the work of branches, representative offices and entities, and strengthen the construction of the association system;

(4) Nominating the Deputy Secretary-General and the principals of offices, branches, representative offices and entities, and submitting them to the Council for decision;

(5) Nominating the employment of full-time staff of offices, representative offices and entity institutions based on the principle of streamlining and high efficiency, and reporting to the president for approval, so as to accelerate the realization of "professionalization, rejuvenation and specialization" of the talent team of the Association;

(six) entrusted by the President to speak on behalf of the Association and sign important documents;

(seven) to handle other daily affairs.

Article 34 The Board of Supervisors shall exercise the following functions and powers:

(a) to report the annual work to the general assembly.

(two) to supervise the election and recall of the general assembly and the Council; Supervise the Council to implement the resolutions of the general meeting of members.

(three) to check the financial and accounting information of the association and report the situation to the registration authority and the competent tax and accounting departments.

(4) Supervisors have the right to raise questions and suggestions to the board of directors as non-voting participants.

(5) To supervise the compliance of the Council with laws and articles of association. When the behavior of the president, vice-president, directors, secretary-general and other managers harms the interests of the association, they are required to correct it and report to the general meeting or relevant government departments when necessary.

Supervisors shall abide by the relevant laws and regulations and the articles of association, accept the leadership of the general meeting of members, and earnestly perform their duties.

Chapter V Principles of Asset Management and Use

Thirty-fifth sources of funds of the Association:

(1) membership fees;

(2) Donation;

(3) government funding;

(four) income from activities or services within the approved business scope;

(5) Interest;

(6) Other lawful income.

Article 36 When accepting donations, the Association shall abide by laws and regulations, and shall not apportion in any form or in disguised form.

Donors, sponsors or units, members and supervisors have the right to inquire about the use and management of donated property from the Association and put forward opinions and suggestions. The Association shall promptly and truthfully answer the inquiries of donors, sponsors or units, members and supervisors.

Article 37 The Association collects membership dues and other activities funds in accordance with the relevant provisions of the state, the articles of association and the methods discussed and approved by the Council.

Article 38 The funds of this Association must be used for the business scope and career development as stipulated in the Articles of Association, and shall not be distributed among members. The property and other income of the Association shall be protected by law, and no unit or individual may occupy, privately divide or misappropriate it.

Article 39 If the president, vice-president, directors, supervisors, secretary-general and staff members of the association privately divide, occupy or misappropriate the property of the association, they shall return it and conduct a review at the general meeting; If a crime is constituted, criminal responsibility shall be investigated according to law.

Article 40 This Association shall implement the unified national accounting system, conduct accounting according to law, establish and improve the internal accounting supervision system, and ensure the legality, truthfulness, accuracy and completeness of accounting data.

This Association will accept the tax supervision and accounting supervision implemented by the competent tax and accounting departments according to law.

Article 41 The Association shall be staffed with accountants with professional qualifications. An accountant may not concurrently serve as a cashier. Accountants must conduct accounting and exercise accounting supervision. When an accountant transfers his job or leaves his post, he must go through the handover procedures with the receiver.

Forty-second asset management of this Association must implement the financial management system stipulated by the state and accept the supervision of the general meeting of members and the financial department. If the source of assets belongs to state grants or social donations or subsidies, it must accept the supervision of audit institutions and publicize the relevant information to the public in an appropriate way.

Article 43 The annual report, general election, change of legal representative and liquidation of this Association must be subject to the financial audit organized by the registration authority.

Article 44 The Association shall submit the activity report of the previous year, financial report and the activity arrangement of this year to the registration authority before the end of March each year in accordance with the Regulations of Guangdong Province on Trade Associations.

We will establish a reporting system for major events: we will hold large-scale academic reports, seminars and exhibitions, hold foreign exchanges, communicate with overseas non-governmental organizations, carry out industry appraisal, meet standards, commend activities, accept donations from overseas and society, etc., and report to relevant government functional departments and registration management authorities and go through relevant procedures before the activities.

Article 45 The full-time staff of this Association shall be engaged in full-time employment system, openly recruited for the society, and conclude labor contracts. Its salary, insurance and welfare benefits shall be implemented with reference to the relevant provisions of the state on public institutions.

Chapter VI Procedures for Amending the Articles of Association

Forty-sixth amendments to the articles of association of the association shall be approved by the board of directors and submitted to the general meeting for consideration.

Article 47 The revised articles of association of the Association shall come into effect after being submitted to the registration authority of the association for approval within 30 days after being adopted by the general meeting of members.

Chapter VII Termination Procedure and Property Disposal after Termination

Article 48 This Association shall be terminated in any of the following circumstances, and the Council or the Standing Council shall propose a cancellation motion:

(a) to complete the purpose stipulated in the articles of association;

(2) The general meeting of members resolves to dissolve;

(three) the association is divided or merged;

(four) unable to continue to work in accordance with the purpose of the articles of association;

Article 49 The motion to terminate the Association shall be voted by the general meeting of members and submitted to the registration authority of the association for examination and approval.

Article 50 Before the termination of this Association, a liquidation organization shall be established under the guidance of the registration authority of associations and relevant units to clear up the creditor's rights and debts and deal with the aftermath. During the liquidation period, no activities other than liquidation will be carried out.

The association shall, within 15 days from the date of liquidation, go through the formalities of cancellation of registration with the registration authority.

Article 51 The Association shall be terminated after the cancellation of registration by the association registration authority.

Article 52 The remaining property after the termination of this Association shall be used for the development of undertakings related to the purposes of this Association under the supervision of the registration authority of associations and in accordance with relevant state regulations.

Chapter VIII Supplementary Provisions

Article 53 The Articles of Association was adopted by voting at the second meeting of the second general meeting on May 17, 2007.

Article 54 The interpretation of the Articles of Association belongs to the Council of this Association.

Article 55 The Articles of Association shall come into force as of the date of approval by the association registration administration organ.
