How to change the shareholders of a Shanghai company?

There are mainly three situations in which the company’s shareholders change:

1. Increase the company’s shareholders

2. Decrease the company’s shareholders

3. Changes of shareholders involving changes in company personnel’s positions (changes in legal representatives, changes in company supervisors)

The above three situations are the most important forms of changes in company shareholders. No matter which form it is, you need to report to the Industry and Commerce Bureau. , the tax authorities submit standardized change registration materials, but the details are different.

To change the company’s shareholders, the following materials must be submitted (only materials submitted to the Industry and Commerce Bureau):

1. Company change registration application form signed by the company

2. Certificate of designated agent signed by the company

3. Shareholders' meeting resolution on changes in the company's shareholders signed by the company

4. Revised draft of the company's articles of association signed by the company or Amendment to the company's articles of association

5. Original and duplicate copies of the company's business license

6. Equity transfer agreement signed by the company

7. New company shareholder investment information Table

8. Copies of ID cards of all new and old shareholders of the company

If the entrusted agent company changes, the following materials must also be provided
