1. Time will be of the utmost importance to the Seller's performance under the purchase order and all failure to deliver as directed or on or before the date or in the quantity specified and to the agreed specification will make any Part of the purchase order which it is obligated to cancel by the buyer. The buyer reserves the right to purchase the items or materials under consideration from other suppliers and charge the seller with all charges however incurred by the item which will be delivered in the seller's favor. and remains at the seller's risk until delivery.

2. The property in design and data in all relevant documents and in all inventions and patents arising from work completed or information obtained by the Seller in connection with this purchase order from the Buyer will belong to the Buyer. The seller of the home will complete and obtain at the buyer's request and expense all documentation that may be necessary to obtain patent and all similar protection in the buyer's name.

3. This Purchase Order is placed on the understanding of Seller that the Property in all matters or any loan or release issue materials provided to Seller in connection with this Purchase Order will not be granted but shall be at Seller's risk, and be insured by the seller to its full replacement cost when working away from the buyer and subject to further terms and conditions as may be specified by the seller.

4. No negligence in exercising nor any delay in the exercise of any part or part thereof by Buyer shall operate its rights hereunder as being thereby waived.

5. The goods or materials will be furnished to the buyer, subject to the condition that the seller indemnifies the buyer against all judgments, orders, fees and charges arising out of any alleged violation or breach of any Hong Kong or foreign patent, Registered designs, restricted use agreements, trademarks, copyrights or equivalents will be subject to the buyer's request and that and at the seller's expense defense or assistance may be brought against the buyer or those using the items or materials under consideration The defense of any suit, action or claim hereunder arising from any alleged breach or breach.
