The bank may require the enterprise to bear the responsibility, and the partner may not object to the bank's debt without the consent of other partners.

According to the provisions of Article 37 of the Partnership Enterprise Law, the restriction of a partnership enterprise on the rights of partners to carry out partnership affairs and represent the partnership enterprise abroad shall not be against a bona fide third party.

Article 49 of the Contract Law stipulates: "If the actor has no agency right, exceeds the agency right or concludes a contract in the name of the principal after the agency right is terminated, and the counterpart has reason to believe that the actor has agency right, the agency act is valid."
