1. Applicable enterprises

The registration authority is the Market Supervision and Administration Bureau of Baohe District, Hefei City, which has not carried out business activities (not opened), has not incurred any claims or debts before applying for cancellation of registration, or has A limited liability company, a non-corporate legal person, a sole proprietorship, or a partnership that has completed the liquidation of its claims and debts (no claims or debts).

II. Not Applicable Enterprises

If the enterprise has any of the following circumstances, the simplified cancellation procedure is not applicable:

(1) It involves the implementation of special access regulations stipulated by the state Foreign-invested enterprises subject to management measures;

(2) Being included in the list of abnormal business operations or the list of serious illegal and dishonest enterprises;

(3) Having equity (investment rights) frozen , pledge or mortgage of chattels, etc.;

(4) Being investigated or subject to administrative coercion, judicial assistance, administrative penalties, etc.;

(5) The unincorporated branch of the enterprise has not gone through the deregistration process;

(6) The simple deregistration procedure has been terminated;

(7) The law, administrative regulations or the decision of the State Council stipulates that in Approval is required before deregistration;

(8) Other situations where simple deregistration of an enterprise is not applicable.

If the people's court rules for compulsory liquidation or declares bankruptcy, the relevant enterprise liquidation team and enterprise administrator may use the people's court's decision to terminate the compulsory liquidation procedure or the decision to terminate the bankruptcy procedure to the compulsorily liquidated or bankrupt person. The person's original registration authority applies for simple deregistration.

3. Operation process

1. The enterprise logs into the National Enterprise Credit Information Publicity System, makes a simple cancellation announcement in the "Simple Cancellation Announcement" column, and uploads the "Commitment Letter of All Investors" at the same time (Signed by all investors and stamped by the company).

The specific operation of the simple cancellation announcement is as shown in the figure below

Log in to the "Company Information Filling" of the National Enterprise Credit Information Disclosure System and click "Simple Cancellation Announcement" to fill in the form.

2. 45 days after the announcement, bring the "Application Form for Simple Cancellation of Enterprises", "Letter of Commitment of All Investors" and the original and duplicate of the business license to the registration authority to handle the cancellation procedures.

Important reminder:

(1) An enterprise has only one opportunity for simple cancellation. If the announcement period has not expired, the company cancels the announcement itself and cannot submit a simple cancellation application again.

(2) If the cancellation formalities are not completed at the registration authority for more than 30 days after the 45th day of the announcement, the system will automatically reject the application.
