2. How to cancel the company? Logout process?
There are two ways to cancel the company, one is the standard cancellation, and the other is the new policy issued by the industrial and commercial bureau, that is, simple cancellation. The following are two cancellation methods for Mande enterprise service arrangement.
Standard cancellation: newspaper publishing-cancellation of tax control and invoices-establishment of liquidation group, completion of liquidation-cancellation of local tax and national tax (whichever tax is paid for business tax and value-added tax)-industrial and commercial cancellation.

Simple cancellation: the enterprise fills in the simple cancellation announcement-announcement in the publicity system, waiting for whether anyone raises an objection-announcement, waiting for whether someone raises an objection-the enterprise applies for simple cancellation registration.
Under normal circumstances, simple cancellation can be completed within 2 months.
3. So what kind of enterprises meet the conditions for simple cancellation?
There are mainly 2 conditions, 4 types, 8 inapplicable situations and 2 special situations.
The two conditions are:
(1) Did not carry out business activities (did not start business) after obtaining the business license.
(2) Creditor's rights and debts have not occurred or have been liquidated before applying for cancellation of registration (no creditor's rights and debts)
Judging whether it meets the requirements: judging whether it belongs to the above situation through the enterprise cancellation application form and the commitment letter of all investors, the industrial and commercial registration department only makes a formal review of the materials.
Four types:
(1) limited liability company
(2) Non-corporate enterprise legal person
(3) sole proprietorship enterprises
(4) Partnership enterprises
The system will judge four types of enterprises that are suitable for simple cancellation registration, and only those that meet the conditions are allowed to fill in the simple cancellation announcement.
8 inapplicable situations:
(1) involving foreign-invested enterprises that are subject to special access management measures as stipulated by the state;
(2) being included in the list of abnormal business operations or the list of enterprises that are seriously illegal and untrustworthy; (refers to the enterprise that is being listed in the list of abnormal business or serious illegal and untrustworthy enterprises when applying for the announcement of simple cancellation. Although it is not clearly stipulated in the Guiding Opinions, it is still possible to apply for simple cancellation after the technical plan and the interpretation materials of the documents made it clear that the enterprise has moved out of the abnormal list.)
(3) The stock right (investment interest) is frozen, pledged or chattel mortgaged;
(4) Being placed on file for investigation or taking administrative enforcement, judicial assistance, being given administrative punishment, etc.;
(5) The unincorporated branch of the enterprise has not gone through the cancellation of registration;
(6) The summary cancellation procedure has been terminated;
(7) Laws, administrative regulations or the State Council decisions require approval before cancellation of registration;
(8) Other enterprises that are not applicable to simple cancellation of enterprises;
The system will partially restrict the eight restrictive conditions in advance. For enterprises that do not meet the requirements, simple cancellation notice cannot be filled in. Mandatory restrictions at least include: list of abnormal operations, list of enterprises with serious violation of laws and trust, stock right freezing, stock right pledge, chattel mortgage (entered into the system), administrative punishment (entered into the system), branches that have not been cancelled (entered into the system), and simple cancellation that has been terminated. At present, the system can't distinguish foreign-funded enterprises that belong to restricted industries and enterprises that need approval before cancellation.
Two special cases:
If the people's court makes a ruling of compulsory liquidation or bankruptcy, the relevant enterprise liquidation group and enterprise manager may apply for simple cancellation of registration directly to the original registration authority of the compulsory liquidator or bankrupt with the ruling of the people's court to terminate the compulsory liquidation procedure or the bankruptcy procedure, without making a simple cancellation announcement.
