With the deepening of the reform of the commercial system, the entry threshold for enterprises is lowered, and the "birth certificate" is easy to open, but the "death certificate" cancelled by enterprises is still cumbersome to handle. According to the current "Company Law", regardless of whether the enterprise has debts or not, whether it has been operated or not, the cancellation must be "slowly" according to the procedures: generally, it needs to go through the procedures of filing by the liquidation group, publishing an announcement in the newspaper, and formal cancellation. And the procedure is complicated and long, and it takes at least two months to go back and forth.

In the first half of this year, the State Administration for Industry and Commerce selected Pudong New Area of Jiangsu Province, Yancheng City, Ningbo City of Zhejiang Province and Shenzhen City of Guangdong Province to organize pilot projects for simple cancellation of unopened enterprises and enterprises without creditor's rights and debts. At present, the scope of the pilot is gradually expanding. As long as the pilot programs around the country conform to the principles of relevant documents and are reported to the State Administration for Industry and Commerce for the record, the pilot work of simple cancellation of enterprises can be directly carried out.

Taking Shanghai as an example, enterprises that meet the simple cancellation conditions only need to publicize their unopened or debt-free status on the enterprise credit information publicity platform, and then submit materials to the registration authority after publicity. The registration authority will make a public announcement 10 day through the enterprise credit information publicity platform the day after acceptance, and provide three materials. The market supervision department will review the materials and complete the cancellation in about 20 days, saving 2/3 of the time.

With the deepening of the reform of the commercial system, the "three certificates in one" has been fully promoted throughout the country. However, many enterprises with cancellation requirements were registered before the "three certificates in one", and they need to cancel their business licenses, tax registration certificates and organization codes respectively. Therefore, relevant departments continue to explore pilot programs. In addition to simply canceling industrial and commercial registration, the cancellation of tax registration is also accelerating. For example, in Zibo, Shandong Province, the joint cancellation of tax registration by state and local taxes was implemented.
