Articles of Association of Shanghai Logistics Association
Chapter I General Provisions Article 1 The name of this Association is Shanghai Pudong Modern Logistics Industry Association. The English name is Shanghai Pudong Modern Logistics Association, or SPMLA for short. Article 2 This Association is an industrial non-profit social organization legal person voluntarily formed by enterprises and institutions engaged in logistics business operation, management, scientific research and teaching in Pudong New Area, Shanghai. Article 3 The purpose of this Association is to adhere to Scientific Outlook on Development, abide by the national constitution, laws, regulations and relevant policies, abide by social ethics, serve relevant government departments and member units, safeguard the legitimate rights and interests of members, and promote the healthy development of the logistics industry in Pudong New Area along the Socialism with Chinese characteristics Road. Article 4 The registration authority of this Association is Shanghai Pudong New Area Civil Affairs Bureau. The association accepts the business guidance of the relevant government departments and the supervision and management of the registration authority. Article 5 The domicile of this Association is located in Pudong New Area, Shanghai.

Chapter II Tasks, Scope of Business and Principles of Activities Article 6 The main tasks of this Association are: (1) to publicize relevant state laws, regulations and policies, to assist relevant government departments in strengthening the management of the logistics industry in Pudong New Area, and to promote self-discipline and law-abiding of member units; (2) According to the national economic development plan of Shanghai and Pudong New Area, combined with the actual situation of the industry, study the development direction of the industry, prepare the development plan of the industry, actively reflect the development of the logistics industry to the government, and strive to coordinate and solve various problems encountered in the operation of enterprises. (3) Investigate, collect and sort out the basic information of the industry, master and analyze the basic situation of the industry, put forward suggestions for the management of member units, and provide scientific basis for the relevant government departments to formulate policies. (4) Strengthen industry management, carry out industry self-discipline, formulate rules and regulations, industry competition norms and service norms, formulate industry prices in a unified or classified manner, organize industry supervision and inspection, safeguard the legitimate rights and interests of member units, coordinate the interests of industries, enterprises and customers, promote the improvement of economic benefits, management and service levels of enterprises, and realize standardized, scientific, standardized and modern management. (five) to organize various economic cooperation in the industry, exchange needed goods, mutual benefit, coordinate the horizontal economic ties between industries, help enterprises find, select and demonstrate business development projects, and do a good job in consulting services. Article 7 The business scope of this Association: publicize the logistics industry policies, carry out exchanges among logistics enterprises, strengthen industry coordination, and promote the development of modern logistics in Pudong New Area. Article 8 The principles of the Association's activities are as follows: (1) The Association conducts its activities in accordance with the approved articles of association and does not exceed the business scope stipulated in the articles of association; (two) the activities of the association shall be honest and trustworthy, fair and just, and shall not resort to deceit, and shall not harm the interests of the state, members and individuals; (3) The Association will follow the principle of "holding its own meeting" and strive to achieve self-management, self-employment and self-financing. Chapter III Membership Article 9 This Association is composed of unit members. Article 10 To apply for membership in this Association, the following conditions must be met: (1) Recognition of the articles of association of this Association; (2) To join this Association voluntarily. Article 11 The procedures for joining the membership are as follows: (1) Submit an application for membership; (two) discussed and approved by the Standing Council; (3) The membership card shall be issued by the secretariat. Article 12 Members shall enjoy the following rights: (1) The right to vote, to be elected and to vote; (two) the right to participate in the activities of this association; (3) Give priority to the services and assistance of the Association; (four) have the right to know, criticize, suggest and supervise the work of this association; (five) have the right to request the association to provide services within its business scope; (six) the right to join the club voluntarily and leave the club freely; Article 13 Members shall perform the following obligations: (1) Abide by the articles of association of this Association;

(two) to implement the resolutions of this Council; (three) to safeguard the legitimate rights and interests of this association; (four) to complete the work assigned by the association; (five) to reflect the situation to this Council and provide relevant information; (six) to pay membership fees in accordance with the provisions; Article 14 A member who withdraws from the club shall notify the club in writing and return his membership card. If a member fails to fulfill his obligations for more than one year, it can be regarded as automatic withdrawal. Article 15 If a member seriously violates the Articles of Association, he/she shall be removed from the membership after being voted by the Standing Council. If a member refuses to accept the delisting decision of the Standing Council, he may lodge a complaint, which shall be answered by the Standing Council and submitted to the members' congress for deliberation when necessary.

Chapter IV Organization and Person in Charge Article 16 The organizing principle of this Association is democratic centralism. The composition of the leading group and the decision-making on major issues must be decided through collective discussion in accordance with the principle that the minority is subordinate to the majority. Article 17 The person in charge of this Association refers to the president, vice-president and secretary-general. Article 18 The highest authority of this Association is the members' congress. The term of office of the general assembly is five years, and the term of office may not be extended for more than one year. The functions and powers of the members' congress are: (1) to formulate and amend the articles of association; (2) Electing or dismissing directors; (3) Setting the membership fee standard; (four) to consider the work report and financial report of the Council; (five) to decide on major issues such as name change and termination; Article 19 A member congress can only be convened when more than two thirds of the members' representatives are present, and its resolution shall take effect after more than half of the members present vote. Member representatives may entrust an agent to attend the meeting, and the agent shall present the power of attorney and exercise the right to vote within the scope of authorization. Article 20 The general meeting of members elects directors to form the Council. The board of directors is the executive body of the association and is responsible to the members' congress. The term of office of the Council is five years, and a general meeting shall be held at the expiration of the term. In case of special circumstances, the general election shall not be postponed for more than one year. Article 21 The duties of the board of directors are: (1) to convene a general meeting of members and submit work reports and financial reports to the general meeting of members; (two) to implement the resolutions of the members' congress; (three) to elect or recall the person in charge of the association; (four) to decide the appointment and removal of the Deputy Secretary General and the principal responsible persons of various institutions; (5) Deciding to establish or cancel offices, branches and representative offices, and filing with the registration authority or applying for registration according to law; (six) to lead the work of various institutions; (seven) to formulate internal management system; (eight) to listen to and consider the work report of the Secretary-General and inspect the work of the Secretary-General; (9) Electing the Standing Council, President, Executive Vice President and Vice President; (10) To decide on other major matters. Article 22 The Board of Directors shall hold 1 meeting every year, and may hold it at any time under special circumstances. Other directors must be elected by the general meeting of members. Under special circumstances, the Council may hold a by-election, but the directors of the by-election shall be confirmed by the next member congress. Article 23 The meeting of the Council shall be convened and presided over by the President. There are13 directors who propose that a board meeting must be held. If the chairman is unable to convene the meeting, the proposing director may elect the convener. When convening a board meeting, the president or convener shall notify all directors five days in advance. The board meeting shall be attended by the directors themselves. If a director is unable to attend for some reason, he may entrust other directors to attend in writing, and the authorization shall be specified in the power of attorney. Twenty-fourth Council meetings can only be held when more than two-thirds of the directors are present; The resolution of the board of directors shall be valid only if it is approved by more than two-thirds of the directors present. Article 25 The Association shall have a standing council, and the number of standing directors shall not exceed one third of the total number of directors. When the Council is not in session, the Standing Council shall exercise the functions and powers in paragraphs 2, 4, 5, 6 and 7 of Article 21 of the Articles of Association and be responsible to the Council. Article 26 The Standing Council shall convene a meeting at least once every six months, and it may be convened at any time under special circumstances. The addition of the Executive Director shall be elected by the Council. Under special circumstances, a by-election may be held by the Standing Council, but the executive director of the by-election shall be confirmed by the next Council. The executive director of the by-election shall be produced among the directors. The person in charge of this Association shall not be elected or removed by the Standing Council. Article 27 The standing council shall be valid only when more than two thirds of the standing directors are present, and its resolutions shall be valid only when more than two thirds of the standing directors are present. Article 28 The members' congress, the Council and the Standing Council of this Association may vote by secret ballot or by raising their hands, but not by applause. Minutes shall be made of the above-mentioned meetings, and minutes shall be made of resolutions. Among them, the resolutions of the Council and the Standing Council meeting shall be reviewed and signed by the directors present at the meeting. Members have the right to consult the company's articles of association, rules and regulations, all kinds of meeting minutes and financial accounting reports. Article 29 The president of this Association shall be the legal representative. The legal representative of this Association shall not concurrently serve as the legal representative of other social organizations. Article 30 The person in charge of this Association shall meet the following conditions: (1) Adhering to the Party's line, principles and policies; (2) It has great influence and high reputation in the business field of the Association; (three) the highest age is generally not more than 70 years old, healthy, can adhere to the normal work; (4) Having full capacity for civil conduct; Thirty-first, because of the need of work, a person over 70 years old must be approved by the board of directors and approved by the registration authority before taking office. Article 32 A person who has been sentenced to public surveillance, criminal detention or fixed-term imprisonment for a crime, whose execution has not been completed for more than five years, shall not be the person in charge of this association. (2) Being sentenced to deprivation of political rights due to a crime, being executed or being sentenced to deprivation of political rights; (3) Being the person in charge of a social organization whose registration has been revoked due to violation of laws, and being personally responsible for the illegal acts of the social organization, and less than five years have passed since the date of revocation of the social organization; (4) Not having full capacity for civil conduct. Article 33 The term of office of the person in charge of this Association is the same as that of the Council, and the re-election shall generally not exceed two terms. If it is necessary to be re-elected for the second term due to special circumstances, it must be approved by the board of directors and approved by the registration authority before taking office. Article 34 The president of the Association shall exercise the following functions and powers: (1) Presiding over members' congresses, convening and presiding over the Council and the Standing Council; (two) to check the implementation of the resolutions of the meeting; (3) To lead the work of the Council and the Standing Council and sign important documents on behalf of the Council; (4) Preside over the president's office meeting composed of the president, executive vice president and vice president. According to the needs of the work, the president may employ several part-time vice presidents and deputy secretaries-general. (5) Other functions and powers as stipulated in the articles of association. Article 35 The Secretary-General is generally full-time. The Secretary-General works under the leadership of the Chairman. Its main responsibilities are: (1) to preside over the daily work of the office and organize the implementation of the annual work plan; (2) Coordinating the work of branches and representative offices; (3) To formulate internal management rules and regulations and submit them to the Council for approval; (4) To propose to the Council the appointment or dismissal of the Deputy Secretary-General and the heads of various institutions; (five) report to the president and the Council; (6) Handling other daily affairs. Article 36 The office of this Association is the Secretariat, which consists of an office, a member service department and a consulting and training department to handle daily routine work. The establishment of an internal office shall be filed with the registration authority. Thirty-seventh full-time staff of the Association shall participate in the on-the-job training organized by the registration authority or the relevant government departments, be familiar with and understand the laws, regulations and policies of social organizations, and strive to improve their professional ability. Chapter v management and use of property article 38 the income of this association comes from: (1) membership fees; (2) Voluntary donations from natural persons, legal persons or other organizations; (3) government funding; (4) Income from activities or services provided within the approved business scope; (5) Other lawful income. Article 39 The property and other income of this Association shall be protected by law, and no unit or individual may occupy, privately divide or misappropriate it. Article 40 The Association shall collect membership fees according to the membership fee standards adopted by the general meeting. Article 41 the funds of this association must be used for the business scope and career development stipulated in the articles of association, and shall not be distributed among members. Article 42 The Association shall implement the Accounting System for Non-profit Organizations, conduct accounting according to law, establish and improve the internal accounting supervision system, and ensure the legality, truthfulness, accuracy and completeness of accounting materials. Article 43 If the source of the assets of the association belongs to government subsidies and social donations, it shall report the acceptance and use of subsidies and donations to the registration authority in a timely manner, and openly accept the supervision of promoters, donors and the society. If a donation agreement is signed with a sponsor or donor, it must be used in accordance with the purpose, method and time limit agreed in the donation agreement. If the association uses donated property in violation of the donation agreement, the investors and donors have the right to require the association to abide by the donation agreement or apply to the people's court for cancellation of the donation or termination of the donation agreement. Article 44 This Association shall accept the tax supervision and accounting supervision carried out by the competent tax and accounting departments according to law. Article 45 An association shall be equipped with accountants with professional qualifications. Accounting personnel shall not concurrently serve as cashiers. When an accountant transfers his job or leaves his post, he must go through the handover procedures with the recipient. Article 46 The wages, insurance and welfare benefits of the full-time staff of this Association shall be implemented with reference to the provisions of relevant state institutions. Article 47 The business accounting year of this Association is June+10/October 1 day to 1 February, 6438. Before March 3 1 every year, the board of directors will consider and approve the following matters: (1) the business report and final accounts of the fund in the previous year; (2) Annual business plan and budget; (3) list of property. Forty-eighth changes in members, legal representatives, liquidation, financial audit should be carried out and reported to the registration authority. Forty-ninth associations shall accept the annual inspection organized by the registration authority in accordance with the Regulations on the Administration of Registration of Social Organizations. Chapter VI Termination and Disposal of Surplus Property Article 50 This Association shall be terminated under any of the following circumstances: (1) It has achieved the purpose stipulated in the articles of association; (two) unable to continue to engage in public welfare activities in accordance with the purposes stipulated in the articles of association; (3) Division or merger; (4) dissolving by itself; Article 51 If the association is terminated, the board of directors shall propose a termination motion within 15 days after it is voted by the members' congress, and apply to the registration authority for cancellation of registration. Article 52 Before the termination of this Association, a liquidation organization shall be established under the guidance of the registration administration organ to clean up the creditor's rights and debts and deal with the aftermath. During the liquidation period, no activities other than liquidation will be carried out. Article 53 This Association shall be terminated after the cancellation of registration by the social organization registration authority. Article 54 The surplus property after cancellation of this Association shall be used for the development of undertakings related to the purposes of this Association under the supervision of the registration authority and in accordance with the relevant provisions of the state. Chapter VII Supplementary Provisions Article 55 The amendment of the Articles of Association shall be approved by the board of directors and submitted to the members' congress for deliberation and adoption. It will take effect only after it has been examined and approved by the members' congress 15 days and approved by the registration authority. Article 56 The Articles of Association was adopted by voting at the first member congress of the first session on March 24, 2008. Where the provisions of the Articles of Association are inconsistent with the national laws, regulations and policies, the national laws, regulations and policies shall prevail. Article 57 The right to interpret the Articles of Association belongs to the Council of the Association. Article 58 The Articles of Association shall come into force as of the date of approval by the registration authority.
