No. Article 1 In order to ensure the performance of the loan contract No. _______ of _________ (hereinafter referred to as the loan contract) signed between Party A and _______________ (hereinafter referred to as the borrower), Party B is willing to use its right to dispose of the loan contract to Party A provides pledge guarantee.

Article 2 Party B’s right to pledge is specified in the list of pledge rights under this contract, which is an integral part of this contract.

Article 3 The scope of the guarantee of this pledge contract is the principal ______________ (in capital letters) and interest (including compound interest and additional interest charged due to the borrower’s default) under the loan contract, the borrower Liquidated damages and costs for realizing the pledge (including litigation fees and attorney fees).

Article 4 Party B promises:

(1) Pledge with legally enjoyed rights, and the pledge act is true and legal;

(2) Will pledge The pledged rights certificate will be handed over to Party A for possession on _________month____________year.

Article 5 Without the written consent of Party A, Party B shall not dispose of the pledged rights in any way. If Party A agrees to Party B's disposal of the right, Party B shall, within ten days after the disposal of the right, pay off the guaranteed creditor's rights in advance with the proceeds (remuneration) or deposit it as pledged property into the account designated by Party A. If Party A believes that the price (remuneration) received by Party B from disposing of the pledged rights is significantly lower than the value of the rights, Party B shall provide corresponding guarantees at Party A's request.

Article 6 If the redemption date of the securities pledged by Party B is earlier than the debt performance period, Party A may cash it before the expiration of the debt performance period. The price can be deposited into the account designated by Party A as pledged property, or the creditor's rights guaranteed by Party B can be paid off in advance, or the bond can be purchased as a pledge guarantee.

Article 7 If the loan contract performance period expires and the borrower fails to perform its debts, Party B authorizes Party A to cash in or otherwise dispose of the pledge rights and receive priority in repayment with the proceeds.

Article 8 If one of the following circumstances occurs, Party A may cash in or otherwise dispose of the pledged rights in advance, and receive priority with the proceeds:

(1) Party B dies, Declared missing, declared dead, or incapacitated for civil conduct and no one is available to perform debts on his or her behalf, or Party B’s heirs, legatees or custodians are unable to fully or refuse to repay the loan;

( 2) Party B goes bankrupt, goes out of business, is dissolved, is suspended for rectification, is revoked, or has its business license revoked;

(3) When Party A withdraws the loan in advance according to the loan contract, the creditor's rights under the loan contract have not been owed. can be realized or cannot be fully realized;

(4) Other circumstances that are sufficient to affect Party B's ability to repay debts or lack of sincerity in repaying debts.

Article 9 After this contract takes effect, if the borrower and Party A agree to extend the performance period of the loan contract, the written consent of Party B must be obtained in advance. If Party B agrees to extend the performance period of the loan contract, and the pledged rights under this contract have been registered for pledge, Party B shall handle the change registration with the original registration authority in accordance with relevant regulations.

Article 10 This contract will terminate automatically if any of the following circumstances occurs:

(1) The loan contract performance period expires and Party A’s claims under the loan contract are fully paid off ;

(2) Party A has realized the pledge in accordance with the provisions of Article 8 of this contract;

(3) Party A has realized the pledge in accordance with the provisions of Article 9 of this contract (4) Party A has realized the pledge right in accordance with Article 10 of this contract.

When this contract is terminated due to the preceding paragraph (1), Party A shall return the pledge rights certificate to Party B within thirty days. When this contract is terminated due to the preceding paragraphs (2), (3), and (4), if there is any balance left after Party A has paid the proceeds from the disposal of the pledged rights, it shall return it to Party B within thirty days.

Article 11 If Party B has any of the following circumstances and causes damage to Party A's realization of the pledge, it shall pay Party A liquidated damages of _________% of the loan balance; if Party B's breach of contract causes damage to Party A If the loss exceeds the liquidated damages, Party B shall also compensate for the insufficient part of the liquidated damages:

(1) Violation of Articles 5, 6, 10 and 11 of this Contract Agreement;

(2) Concealing the existence of ownership rights, ownership disputes or other circumstances that are unfavorable to Party B;

(3) Preventing Party A from realizing the pledge rights .
