Annual routine related transactions refer to matters that may occur between a listed company or its controlled subsidiaries and related parties of the listed company that may result in the transfer of resources or obligations. According to the "Related Party Transactions of Listed Companies on the Shanghai Stock Exchange" Articles 12 and 42 of the "Transaction Implementation Guidelines", routine related transactions include the following:
Purchase or sale of assets;
Outside investment (including entrusted financial management) , entrusted loans, etc.);
Provide financial assistance;
Provide guarantees;
Lease or lease assets;
Entrust or Entrusted management of assets and business;
Giving or receiving assets;
Restructuring of claims and debts;
Signing of licensing agreements;
Transfer or transfer research and development projects;
Purchase raw materials, fuel, and power;
Sell products and commodities;
Provide or receive labor services;
Entrusted or entrusted sales;
Deposits and loans in the financial companies of related parties.
It should be noted that when conducting routine related transactions, according to the "Implementation Guidelines for Related Transactions of Listed Companies of the Shanghai Stock Exchange":
Article 43: The first occurrence of routine related transactions In the case of related transactions, the listed company shall enter into a written agreement with the related party and disclose it in a timely manner, and submit it to the board of directors or shareholders' meeting for review based on the total transaction amount involved in the agreement. If the agreement does not have a total transaction amount, it shall be submitted to the shareholders' meeting for review.
Article 46: Daily related transaction agreement shall include:
Pricing policy and basis;
Transaction price;
Transaction Method for determining the total range or total transaction volume;
Time and method of payment;
Comparison with the actual amount of similar daily related transactions in the previous three years;
Other major terms that should be disclosed.
