How to establish a Sino-foreign joint venture
Legal analysis: 1, go to the industrial and commercial bureau for pre-approval and registration of enterprise name; 2. Obtain the industry pre-approval from the competent department of the industry; 3. Go to the District Development and Reform Commission for project approval; 4. Go to the District Bureau of Commerce to examine and approve the articles of association and contract; 5. Obtain the approval certificate of the foreign-invested enterprise; 6. Go to the Industrial and Commercial Bureau for industrial and commercial registration and obtain a business license; 7. Finally, register foreign exchange with SAFE.

Legal basis: Regulations of People's Republic of China (PRC) Municipality on the Administration of Registration of Enterprise Legal Persons.

Article 14 An enterprise as a legal person shall apply for registration with the registration authority within 30 days after approval by the competent department or the examination and approval authority. The application for industrial and commercial registration by an enterprise without a competent department or examination and approval authority shall be examined by the registration authority. The registration authority shall, within 30 days after accepting the application, make a decision on whether to approve or disapprove the registration.

Article 15 To apply for industrial and commercial registration of an enterprise as a legal person, the following documents and certificates shall be submitted:

(1) An application for registration signed by the person in charge of the institution;

(two) the approval documents of the competent department or the examination and approval authority;

(3) Articles of association;

(4) Capital credit certificate, capital verification certificate or capital guarantee;

(five) the identity certificate of the main person in charge of the enterprise;

(6) Proof of the use of the domicile and business premises;

(seven) other relevant documents and certificates.
