Chapter I General Provisions Article 1 In order to protect the legitimate rights and interests of rural collective industrial enterprises, guide and support their healthy development, and give play to their important role in socialist modernization, these Regulations are formulated in accordance with the Constitution of People's Republic of China (PRC) and relevant laws and regulations, combined with the situation of this province. Article 2 These Regulations shall apply to collective industrial enterprises organized by townships (towns) and villages (hereinafter referred to as enterprises). Article 3 An enterprise is an economy under collective ownership by the socialist working people and belongs to all members of the township (town) village collective economic organizations and other investors. The state protects the ownership of an enterprise, and no department or individual may change the nature of the ownership of the enterprise or occupy the property of the enterprise equally.

The factory director (manager) is the legal representative of an enterprise that has obtained legal person status according to law. Article 4 People's governments at all levels shall actively support, rationally plan, correctly guide and strengthen the development of management enterprises. Article 5 Enterprises shall, according to domestic and international market demand, adjust measures to local conditions, give full play to their advantages, and serve agricultural production, people's livelihood, large-scale industry and foreign trade export.

Encourage enterprises to produce export-oriented products, develop export-oriented economy and participate in international market competition. Article 6 When making enterprise development plans or adjusting product structure, environmental pollution should be prevented and ecological balance should be maintained.

Enterprises without prevention and control capabilities are prohibited from engaging in toxic and harmful production projects. It is forbidden to produce products that are not allowed by the state. Chapter II Start-up and Closure Article 7 Anyone who meets the following conditions may apply for starting an enterprise:

1. Necessary funds, plant (site) and equipment;

Second, there are necessary employees;

Third, it is necessary to demonstrate the source of raw materials and the feasibility of product sales. Article 8 To start an enterprise, according to the investment scale and examination and approval authority, it shall be approved by the township (town) people's government or the competent department of township enterprises at or above the county level (including the county level, the same below), go through the registration formalities in accordance with the provisions of the State Administration for Industry and Commerce, and obtain a business license.

Products controlled by special industries and the state shall be submitted for approval according to the examination and approval authority prescribed by the state. Article 9 An enterprise shall, in accordance with the principle of land conservation, apply to the land administration department of the people's government at or above the county level for approval of land use. Article 10 The merger, division and transformation of production of an enterprise must be reported to the original approval authority and the administrative department for industry and commerce, and the change registration formalities must be handled. Article 11 When an enterprise closes its business, it must report to the original approval authority and the administrative department for industry and commerce, go through the formalities of closing its business and make an announcement. The competent authority or the people's court shall organize relevant personnel to be responsible for clearing up property, creditor's rights and debts and handling the aftermath. Chapter III Rights and Obligations Article 12 The rights of an enterprise:

1. Arrange production, supply, sales and other business activities independently within the business scope;

Two, within the scope permitted by laws and regulations, accept all aspects of investment and shares;

Three, according to the principle of voluntariness, equality and mutual benefit, with state-owned and collective enterprises, universities and scientific research units to carry out various forms of horizontal economic cooperation and economic and technological cooperation, not limited by administrative divisions;

Four, according to the provisions of the state, the use of foreign capital, the introduction of advanced technology and equipment, to carry out import and export trade and other forms of foreign economic activities, according to the provisions of the state to retain and use foreign exchange income;

Five, according to the provisions of the state and province to determine the price of its products;

Six, to participate in the national and provincial unified organization of production license evaluation, product identification and quality product appraisal; National designated products, famous and famous products, agricultural products, export products, small commodities and products for comprehensive utilization of "three wastes" enjoy relevant preferential treatment;

Seven, undertake national and provincial major technological transformation and scientific research projects, enjoy the relevant preferential treatment;

Eight, enjoy the preferential treatment of tax, credit and other provisions of the state;

Nine, the enterprise's invention, scientific research and technology and other new achievements, you can apply for patents and transfer;

Ten, independently decide the internal organization and cadre deployment, recruitment, reward and punishment and dismissal of employees. Article 13 Obligations of an enterprise:

1. Abide by the Constitution, laws and regulations;

Second, obey the guidance of the state plan, make use of the role of market regulation, and do a good job in production and operation;

Third, pay taxes according to law;

Four, in accordance with the provisions of the state and province, extraction and timely delivery of agricultural construction, agricultural subsidies and other expenses;

Fifth, strengthen quality management, ensure product quality and be responsible to users;

Six, the implementation of national and provincial financial system; Establish financial accounting, statistics and other systems according to law, and compile financial and statistical statements on schedule;

Seven, take effective measures to prevent pollution, pollution should be treated on schedule;

Eight, the implementation of national and provincial laws and regulations on labor protection and safety, to ensure safety in production and personal safety of workers;

Nine, care about the collective welfare of workers, improve the material and cultural life of workers;

Ten, the staff of political thought, science and culture education, strengthen technical business training, improve the quality of employees. Chapter IV Operation and Management Article 14 The township (town) village collective economic organization or the board of directors shall exercise ownership on behalf of the enterprise owners. Fifteenth enterprises implement various forms of contract management responsibility system combining responsibility, right and benefit. The contents of the contract shall be agreed by the collective economic organization or the Council and the contractor, and the contract shall be signed in accordance with the relevant laws and regulations of the state, and all parties must strictly implement it.

Enterprises can operate under lease, and the nature of ownership remains unchanged.

Enterprises should carry out independent accounting and be responsible for their own profits and losses.
