Regulations of Shaanxi Economic and Technological Development Zone (revised in 2004)
Chapter I General Provisions Article 1 In order to speed up the construction of economic and technological development zones, develop foreign economic and technological cooperation and trade, and promote the commercialization, industrialization and internationalization of high-tech achievements, these Regulations are formulated in accordance with relevant state laws and regulations and in light of the actual situation of this province. Article 2 These Regulations shall apply to the economic and technological development zones and high-tech industrial development zones established in this province.

Enterprises, institutions and individuals in the Development Zone must abide by the laws, regulations and these regulations of People's Republic of China (PRC). Article 3 The term "development zone" as mentioned in these Regulations refers to an economic zone that, with the approval of the people's government of the State Council or the province, implements the special policies for developing export-oriented economy and high-tech industries stipulated by the state or the provincial people's government in a specific region. Article 4 A management committee shall be established in the Development Zone. The Management Committee is an agency of the people's government that established the Development Zone, and exercises management authority over the Development Zone on behalf of the people's government at the corresponding level. Article 5 The Development Zone shall adopt various forms, introduce capital, apply advanced technology and management methods, and set up advanced technology enterprises, product export enterprises and tertiary industries related to scientific and technological development.

The Development Zone shall not hold enterprises with backward technology, polluting the environment or prohibited by laws and regulations. Article 6 The construction of development zones shall conform to the construction planning of cities, industrial and mining areas and the overall planning of land use, and shall be unified planning, rational layout, comprehensive development and supporting construction. Seventh development zones should establish and improve the investment service system and create a good investment environment. Article 8 The employees of enterprises and institutions in the Development Zone have the right to establish trade union organizations and carry out trade union activities according to law to safeguard the legitimate rights and interests of employees. Article 9 The investment, property, income and other lawful rights and interests of investors in the Development Zone shall be protected by national laws, regulations and these Regulations. Chapter II Management Article 10 The Management Committee of the Development Zone shall exercise the following functions and powers:

(a) responsible for the implementation of laws and regulations in the development zone;

(two) the preparation of the overall planning of the development zone construction, and organize the implementation after approval;

(three) according to laws, regulations and rules, formulate and publish the management regulations of the development zone;

(four) to lead and coordinate the work of the agencies or branches of the relevant departments in the development zone;

(5) Examining and approving investment projects in the Development Zone;

(six) responsible for the construction and management of infrastructure and public facilities in the development zone;

(seven) to manage the foreign affairs and import and export business of the Development Zone;

(eight) to coordinate and serve the enterprises and institutions in the Development Zone;

(nine) other functions and powers granted by the people's government that established the development zone. Eleventh the relevant departments to set up agencies or branches in the development zone, must be approved by the development zone management committee, and reported to the people's government for approval. Article 12 The scope of responsibilities of social management such as civil affairs, public security, education, culture, health and environmental protection in the development zone shall be stipulated by the people's government that established the development zone. Chapter III Investment and Operation Article 13 Domestic and foreign enterprises, other economic organizations or individuals are encouraged to invest and set up enterprises in the Development Zone, or conduct other investments and operations permitted by national laws and regulations. Fourteenth holding enterprises should invest capital and start construction within the prescribed time limit. If it is impossible to invest funds and start construction on schedule, it shall apply for extension of approval in advance; If the extension is not approved, the land use certificate and business license shall be cancelled. Article 15 Enterprises with foreign investment shall open accounts in China banks designated by the Development Zone or financial institutions that engage in foreign exchange business with the approval of the foreign exchange administration department. Opening an account with a financial institution overseas or in Hong Kong, Macao and Taiwan shall be approved by the State Administration of Foreign Exchange in advance.

All insurances of foreign-invested enterprises shall be insured with insurance institutions stipulated by laws and regulations of China. Article 16 Enterprises in the Development Zone shall establish complete meeting account books, submit accounting statements and annual inspection reports of enterprises as required, and accept the supervision of financial, taxation and industrial and commercial administrative departments.

The annual accounting statements of foreign-invested enterprises and joint-stock domestic enterprises shall be verified by accountants registered in China. Article 17 Enterprises in the Development Zone have the right to decide on their own organizational setup, staffing, salary and reward system, and recruit, hire or dismiss their own employees.

The employment, employment or dismissal of employees of foreign-invested enterprises shall be handled in accordance with the provisions of the state and this province on labor and personnel management of foreign-invested enterprises. Eighteenth enterprises in the development zone should report the reasons to the relevant departments of the development zone in advance, and go through the formalities according to the regulations. Article 19 The bankruptcy of enterprises in the Development Zone shall be handled in accordance with the Enterprise Bankruptcy Law of the People's Republic of China. Chapter IV Technology Import and Development Article 20 Enterprises, scientific research institutions, institutions of higher learning and engineers and technicians at home and abroad are encouraged to conduct technology development, technology sharing, technology transfer, technology consultation and technical services in various ways in the Development Zone, so as to develop advanced technology or high technology. Twenty-first development zones focus on introducing and developing the following advanced technologies or high-tech:

(a) related to the development of emerging industries or new products;

(two) has a significant role in promoting the technological transformation and product upgrading of enterprises;

(3) Products may be exported or imported;

(four) the production technology and manufacturing technology are advanced internationally or urgently needed in China;

(five) is conducive to technology or products to catch up with the advanced level in the world;

High-tech must be reported to the competent department of science and technology for identification.
