1. Application for Change of Registration of Non-corporate Enterprise as a Legal Person signed by the legal representative (stamped with the official seal of the enterprise);

2. The certificate of the designated representative or entrusted agent (stamped with the official seal of the enterprise) and a copy of the identity certificate of the designated representative or entrusted agent;

The handling matters, authority and authorization period of the designated representative or entrusted agent shall be indicated.

3. In the business scope where the enterprise applies for registration, if there are items that must be approved before registration according to laws, administrative regulations and the State Council decisions, it shall submit relevant approval documents or copies of permits and licenses;

4. If laws, administrative regulations and the State Council decisions require approval to change the business scope, submit a copy of the relevant approval documents or license certificate;

5. Copy of the business license of the enterprise as a legal person.

Note: 1. These Standards shall apply to an enterprise as a legal person established in accordance with the Regulations on the Administration of Registration of Enterprise as a Legal Person when applying for registration of change of business scope.

2. The Application for Change of Registration of Non-corporate Enterprise as a Legal Person and the Certificate of Designated Representative or Entrusted Agent can be downloaded from the website of China Enterprise Registration of the State Administration for Industry and Commerce or obtained from the administrative department for industry and commerce.

3. The application form and other application materials submitted shall be in A4 paper.

If the above items do not indicate the copy to be submitted, the original shall be submitted; If a copy is submitted, it shall be marked as "consistent with the original" and signed by the enterprise, or its designated representative or entrusted agent shall affix its official seal or signature.

Specification for submission materials for business scope change registration

1. Application for company change registration signed by the legal representative (with the official seal of the company);

2. The certificate of designated representative or authorized agent signed by the company (official seal of the company) and a copy of the identity certificate of designated representative or authorized agent;

The handling matters, authority and authorization period of the designated representative or entrusted agent shall be indicated.

3. Resolutions and decisions to amend the Articles of Association;

A limited liability company submits a resolution of shareholders' meeting signed by shareholders representing more than two thirds of the voting rights; A joint stock limited company shall submit the minutes of the shareholders' meeting signed by the presiding officer and the directors present at the meeting; A one-person limited liability company submits a written decision signed by shareholders. A wholly state-owned company shall submit the approval documents of the State Council, the local people's government or the state-owned assets supervision and administration institution of the people's government at the corresponding level authorized by it.

4. The revised articles of association or amendments to the articles of association (signed by the legal representative of the company);

5. The business scope of the company's application for registration includes the items that must be approved before registration according to laws, administrative regulations and the State Council decisions, and the relevant approval documents or a copy of the license or permit shall be submitted;

Where the examination and approval authority separately approves the branch business license project, the company may apply for increasing the corresponding business scope with the approval documents and certificates of the branch business license project, but the words "(limited to XX branches)" shall be marked after the application for increasing the business scope.

6. If laws, administrative regulations and decisions of the State Council require approval to change the business scope, submit a copy of the relevant approval documents or license certificate;

7. A copy of the company's business license.

Note: 1. A company established in accordance with the Company Law and the Regulations on the Administration of Company Registration applies for registration of change of business scope.

2. The Application for Company Change Registration and the Certificate of Designated Representative or Entrusted Agent can be downloaded from the website of China Enterprise Registration of the State Administration for Industry and Commerce or obtained from the administrative department for industry and commerce.

The filing and registration of foreign trade operators shall be subject to nationwide networking and localized management.

The Ministry of Commerce entrusts qualified local foreign trade authorities (hereinafter referred to as the filing and registration authorities) to handle the filing and registration procedures for foreign trade operators in the region; The entrusted filing and registration authority may not entrust other institutions to file and register.

The filing and registration institution must have the fixed office space, full-time personnel for management, entry, technical support and maintenance necessary for filing and registration, and relevant equipment connected with the filing and registration network system of foreign trade operators of the Ministry of Commerce (hereinafter referred to as the "filing and registration network").

The Ministry of Commerce may issue a written power of attorney to the filing and registration authorities that meet the above conditions, issue a seal of filing and registration under the unified supervision of the Ministry of Commerce, and make it public. The filing and registration authority shall go through the filing and registration procedures through the filing and registration website of the Ministry of Commerce with the written power of attorney and the seal of filing and registration. The Ministry of Commerce may revoke the entrustment of the filing and registration organ that has changed its circumstances, does not meet the above conditions, and fails to handle the filing and registration in accordance with the provisions of Articles 6 and 7 of these Measures.
