Legal analysis: partnership enterprises as legal persons are not allowed to borrow money from outside. As a joint venture, an enterprise legal person or institution legal person invests in the joint venture, but it does not participate in the joint operation and does not bear the risk responsibility of the joint venture. If the principal and interest are recovered on schedule regardless of profit and loss, or fixed profits are collected on schedule, it is obviously a joint venture, but it is actually a loan, which violates relevant financial regulations and should confirm that the contract is invalid.

Legal basis: Article 39 of the Partnership Enterprise Law of People's Republic of China (PRC). If the partnership enterprise fails to pay off the debts due, the partners shall bear unlimited joint liability.
